1. Agreement to terms

These Terms of use ("Terms") govern your access to and use of the website located at https://smartroboai.life/ (the "Site"), operated by Smart Robo AI Inc. ("Smart Robo AI," "we," "us," or "our"), a corporation with registered business address at 150 East 5th Avenue, Suite 110, Vancouver, British Columbia V5T 1H2, Canada (BN 671230584 RC0001).

By accessing or using the Site, you agree to be bound by these Terms and our Privacy policy and Cookie policy, which are incorporated by reference. If you do not agree, do not use the Site. Separate written agreements govern paid professional engineering services and supersede these Terms where they conflict.

2. Description of the Site and services

The Site provides information about Smart Robo AI's robotics-autonomy AI engineering and consulting services, including neural perception, reinforcement-learning control policies, simulation and sim-to-real validation, fleet analytics, human-robot interaction, safety assurance and deployment integration.

Smart Robo AI is a professional engineering-services firm. We are not a wellness brand, financial robo-advisor, consumer toy-robot retailer, online course provider, or income-opportunity programme. Content on the Site is informational and does not constitute a binding offer, engineering certification, safety approval, or legal advice.

We do not develop autonomous weapons, military-targeting systems, or mass-surveillance products. Enquiries in those categories are outside our scope.

3. Eligibility and acceptable use

You must be at least eighteen years of age, or the age of majority in your jurisdiction, to use the Site. You agree to use the Site only for lawful purposes and in accordance with these Terms. You must not:

• Use the Site in any way that violates applicable federal, provincial or local law;
• Attempt to gain unauthorised access to our systems, other users' data, or connected networks;
• Transmit malware, automated scraping bots (except public search engine crawlers respecting robots.txt), or spam through our contact form;
• Interfere with or disrupt the integrity or performance of the Site;
• Misrepresent your identity or affiliation when submitting enquiries;
• Reproduce, republish or commercially exploit Site content without prior written permission.

We may suspend or block access for conduct that violates these Terms or poses security risk.

4. Contact form and communications

When you submit our contact form, you agree to provide accurate information and to grant us permission to respond using the contact details supplied, subject to your explicit PIPEDA consent checkbox. You must not submit confidential trade secrets or sensitive personal data unrelated to your enquiry through the public form.

Submitting an enquiry does not create a client relationship or obligate Smart Robo AI to accept a project. Engagement terms are established only through executed contracts.

5. Intellectual property

The Site and its original content, features, layout, trade dress, trademarks and branding are owned by Smart Robo AI Inc. or its licensors and are protected by Canadian and international intellectual-property laws. You may view and print pages for personal, non-commercial reference. Any other use — including copying substantial text, images or design elements for competing services — requires prior written consent.

Client deliverables produced under paid engagements are governed by project contracts, which may assign or license intellectual property differently than these Terms.

6. Third-party links

The Site may contain links to third-party websites or resources. We provide links for convenience only and do not endorse or assume responsibility for third-party content, privacy practices or availability. Your use of third-party sites is at your own risk and subject to their terms.

7. Disclaimers

THE SITE AND ALL INFORMATION, METRICS, CASE NOTES AND MATERIALS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.

Without limiting the foregoing:

• Metrics and case studies describe past engagements in specific environments and are not guarantees of uptime, throughput, safety outcomes or return on investment in your context;
• CAD price ranges are illustrative estimates subject to discovery and formal quotation;
• Robotics autonomy involves inherent risk — perception errors, control failures and environmental change can cause incidents despite engineering diligence;
• We do not warrant that the Site will be uninterrupted, error-free or free of harmful components.

Nothing on the Site replaces on-site risk assessment, applicable safety standards compliance, or professional engineering judgement tailored to your facility.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SMART ROBO AI INC. AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED ONE HUNDRED CANADIAN DOLLARS (C$100), EXCEPT WHERE LIABILITY CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

Liability for paid professional services is governed by separate written agreements, which may specify different limitations consistent with professional and regulatory requirements.

9. Indemnification

You agree to indemnify, defend and hold harmless Smart Robo AI Inc. and its personnel from and against any claims, damages, losses and expenses (including reasonable legal fees) arising from your violation of these Terms, misuse of the Site, or infringement of third-party rights resulting from content you submit to us without authority.

10. Privacy and cookies

Your use of the Site is also governed by our Privacy policy, which explains our practices under PIPEDA and British Columbia's Personal Information Protection Act (PIPA), and our Cookie policy. By using the Site you acknowledge those policies.

11. Governing law and jurisdiction

These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-law principles that would apply another jurisdiction's laws.

You agree that the courts of British Columbia, sitting in Vancouver, shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Site, except where mandatory consumer protection rules in your province of residence provide otherwise for non-commercial users domiciled outside British Columbia.

Before initiating formal proceedings, parties agree to attempt good-faith resolution by written notice to [email protected] describing the dispute and desired remedy.

12. Changes to terms

We may revise these Terms at any time by posting an updated version on the Site with a new "Last updated" date. Material changes will be posted prominently on this page. Your continued use after changes become effective constitutes acceptance of the revised Terms. If you disagree with changes, discontinue use of the Site.

13. Severability and waiver

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force. Our failure to enforce any right or provision is not a waiver of that right or provision.

14. Entire agreement for website use

These Terms, together with the Privacy policy and Cookie policy, constitute the entire agreement between you and Smart Robo AI Inc. regarding use of the Site. They do not replace master services agreements, statements of work, or NDAs for paid engagements.
